  • – an overview of investment transaction structures (i.e. by share acquisition or asset purchase) – and why this is important in the context of IP due diligence;
  • – common issues faced by businesses during the due diligence process – from entitlement and chain of title queries, to protection of trade secrets, to ongoing infringement actions; and
  • – strategies for mitigating identified risks – depending on your position in the transaction.
